CHANGES TO THE BOARD OF DIRECTORS AND SUB-COMMITTEES

The Company hereby announces the resignation of Cristina Teixeira, Group Chief Financial Officer (“CFO”), effective as of 30 September 2020. Cristina was approached, and has decided to accept, a CFO role with another JSE listed entity.

Cristina has extended her official notice period to 31 January 2021 in order to facilitate a successful completion of the Group’s year-end audit process. During her notice period as CFO, she will continue to focus on various corporate initiatives including the Group and Consolidated Power Projects Proprietary Limited debt restructuring.

The Board and management team thank her for her invaluable contribution and exceptional dedication during her period with the Group.

Under Cristina’s guidance the Group’s financial controls, reporting and processes were significantly strengthened and visibility improved, resulting in a higher assurance model for decision making. We wish her all the best in her new endeavours.

The Board has commenced a search for a new chief financial officer for the Group.

The Company also announces that Judy Nwokedi and Roger Hogarth, both current independent non- executive directors of the CIG, have been appointed as members of the Nominations Committee and Remunerations Committee with Judy taken on the role of Chairman of both committees.
