DEALINGS IN SECURITIES BY A DIRECTOR OF A MAJOR SUBSIDIARY OF CONSOLIDATED INFRASTRUCTURE


Shareholders are referred to the announcement released on SENS on 11 July 2014 wherein shareholders were
advised that Siluleko Gesha (“Gesha”), a director of Consolidated Power Holdings (Pty) Ltd, a major
subsidiary of the company, had entered into a zero-cost collar hedge, in respect of in aggregate 500 000
Consolidated Infrastructure shares, which zero-cost collar hedge would settle in two equal tranches of 250 000
Consolidated Infrastructure shares each with settlement dates of 1 September 2016 and 15 September 2016,
each option in respect thereof having a put strike price of R28.60 and a call strike price of R36.05 (“the Gesha
collar”). As the share price of the Consolidated Infrastructure shares at 15 September 2016 was less than the
put strike price of R28.60, the Gesha collar was automatically settled off-market by the retention of in
aggregate 250 000 shares by the relevant counterparty under the Gesha collar (who held them pursuant to a
pledge and securities loan arrangement) and payment to Gesha in cash of the put strike price, being in
aggregate R7 150 000.00.
